Affiliates will sign up to your affiliate programme and begin promoting your website online. In return for this, you pay commission to the affiliate everytime a visitor completes a goal on your website. A typical goal would be a sale.

What does Buyflood do?

We provide the platform and mechanism for you to run your affiliate programme. Our systems track visitors originating from your affiliates and then log any commission incurred during their visit. Affiliates are then paid by us.

What are the costs

There are no set up costs, the only charge for our service is a percentage of the commission that you apply to your affiliates. Affiliates are paid from the pre-paid credit in your account.

How do you track affiliate visitors?

Affiliates, when promoting your website use a unique link, this allows us to track the visitor using cookies. On your order successful page or any other page that signifies the visitor has completed a goal you will install a small piece of code that tells us to register the commission for the affiliate.

PLEASE READ THE FOLLOWING TERMS AND CONDITIONS

These Terms and Conditions (“terms”) and the Affiliate Values and Conduct constitute the Agreement between Buyflood and the Affiliate and shall govern the Affiliate’s participiation in the Service. By clicking “I agree to the Buyflood Terms and Conditions” you indicate acceptance to these terms.

DEFINITIONS

The following definitions apply to these terms and conditions:

“Affiliate” – individual or entity who has been accepted under these terms and conditions to participate in this service by Buyflood.

“Commission” – monies accrued by the Affiliate through their participiation in the service.

“Merchant” – a person or entity selling or providing services through a website.

“Minimum Threshold” – a sum specified by Buyflood as being the minimum amount required for remittance of Commission.

“Service” – the Affiliate Network system provided by Buyflood

“Goal” – an objective set by Merchant whereby Commission or reward has been offered to Affiliate in return

“Visitors” – a person or entity who has been directed from the Affiliate to the Merchant through Buyflood’s tracking system.

1. Application

1.1 Joining Buyflood as an Afiliate starts by the Affiliate completing and submiting the Affiliate Application form. All required fields of the application must be entered correctly by the Affiliate to be considered by Buyflood.

1.2 Affiliate Applications may be rejected for any reason deemed sufficient by Buyflood. Including but not restricted to: a) not meeting Buyflood’s Affiliate Values and Conduct; b) not meeting Buyflood’s expected quality.

1.3 Successful application does not guarantee the Affiliate participation in a Merchant’s Affiliate Program. The judgement of an Affiliate’s suitability is at the discretion of the Merchant.

2. Affiliate Agreement

2.1 Affiliates must agree to:

a) Maintain correct links and information in accordance with Merchant advice and requests;

b) Not mislead Visitors into clicking or achieving a Goal by deception;

c) Not encourage or facilitate fraudulent clicks or Goal determinations;

d) Not use a Link in a way that would damage a Merchant or Buyflood;

e) Treat Merchant information provided through the Buyflood Affiliate Network as confidential unless stated otherwise;

f) Not, nor assist third parties in attempting to solicit Merchants;

g) Not send unsolicited email messages;

h) Ensure their details held by Buyflood are correct and will notify Buyflood of any changes in circumstance that could impact their elligibility to participate as an Affiliate.

3. Affiliate Values and Conduct

3.1 The Affiliate is responsible for ensuring they meet with all parts of the terms and conditions of their participation including the Buyflood Affiliate Values and Conduct which Buyflood reserve the right to change frequently.

3.2 The Affiliate agrees to adhere to additional terms a Merchant requires for participation in their Affiliate Program through Buyflood.

The Affiliate agrees to accept the final decision by a Merchant for declining Commission .

4. Payment

4.1 Buyflood will provide an up to date statement of the Balance Payable, which takes into account the provisions of these conditions:

a) The date of the Goal determining Commission has passed the last date for the Merchant to decline.

b) Exclusion of Commission unpaid to Buyflood by the Merchant;

c) Exclusion of Commission declined by the Merchant or Buyflood.

4.2 The Balance Payable must be above or at the minimum threshold of 25.00GBP for payments to be issued to the Affiliate. In the event of this threshold not being met the balance will be retained and carried forward until the next payment point when:

a) the balance has reached the Minimum Threshold;

b) or the Affiliate has closed their Affiliate account with Buyflood.

4.3 Payments are determined on the 1st of every month and will be issued to the Affiliate within 30 days.

4.4 If it is Buyflood’s opinion that the Affiliate has in anyway breached the terms of this agreement or Values and Conduct there is no obligation for Buyflood to pay any of the Balance Payable.

4.5 Only Buyflood’s tracking system is used to determine where commission has been earned for the Merchant’s further acceptance.

4.6 Should Buyflood be unable to remit Commission to the Affiliate due to incorrect or out of date information and is unable to contact the Affiliate to arrange payment after 6 months any rights held by the Affiliate are waived and releases claim to the benefit of Buyflood.

4.7 Payment of Commission Payable under these terms are not bound under the Late Payment of Commercial Debts Act 1998 and Late Payment of Commercial Debts Regulations 2002 and therefore interest will not accrue on monies owed to the Affiliate.

5. Representations and Warranties

5.1 The Affiliate represents and warrants that:

a) it has the authority to enter into this agreement;

b) the Affiliate is in compliance with all applicable laws, rules and regulations;

d) any information displayed on their website regarding Merchants are correct and not misleading.

5.2 the Affiliate indemnifies Buyflood from any losses, claims, liabilities, suits and expenses arising from their Affiliation.

6. Limitation of Liability

6.1 The service provided by Buyflood is provided “as is” to the fullest extent permissible pursuant to applicable law. Buyflood disclaims all warranties expressed or implied, including but not limited to, Service quality and fitness for purpose.

6.2 Buyflood shall not be liable for any loss incured by the Affiliate including but not limited to, loss of profits, goods, contracts or data.

7. Reservation

7.1 Buyflood may add, change or discontinue any part of its Service including the Affiliate’s Values and Conduct.

7.2 Buyflood reserves the right in the future to introduce or alter fees to any part of its Service giving 7 days notice prior to affect.

8. Termination

8.1 Either party can terminate this agreement for any reason at any time, without prejudice to any rights accrued under this agreement.

8.2 On termination of the Agreement:

a) Rights and liabilities will not be affected;

b) Affiliate will remove any links to merchants using Buyflood’s tracking urls;

c) The Affiiliate shall no longer accrue commission or rewards through the Buyflood Affiliate System

9. Notices

Any notices given under this agreement shall be sent:

a) To Buyflood: email: david (at) buyflood.com

b) To Affiliate: Provided contact details entered into application

10. General

10.1 This Agreement is between the Affiliate and Buyflood and shall not be reassigned or transferred to to any third party without written consent by Buyflood.

10.2 Both parties have no liability under this agreement if it is prevented, or delayed in performing its obligations under this agreement. Including but not limited to strikes, industrial disputes, failure of utility or transport service, act of god, war, riot, malicious damage, fire, failure of suppliers or subcontractors.

10.3 This Agreement including Affiliate Values and Conduct constitutes the entire agreement betweens both parties and supersedes all previous agreements, excluding that held between the Affiliate and Arclid.com Ltd.

10.4 Nothing in this agreement pertains partnership or joint venture of any kind between the Affiliate, Buyflood and Merchants. No party has the authority to act on behalf of the other parties in any way.

10.5 No person whom is not party to this Agreement has any rights under or in connection with it by virtue of the Contract Act 1999.

10.6 Any dispute or claim arising from this agreement shall be governed by the law of England and Wales.
